These Terms govern access to and use of Prospect, a software as a service platform for business, ERP, invoicing, accounting workflow, inventory, purchasing, reporting, and eFaktura operations. By creating an account, subscribing, or using Prospect, you agree to these Terms on behalf of yourself and the company or organization you represent.

3. Accounts and authority

You must provide accurate account, company, tax, and billing information. You are responsible for keeping credentials secure and for actions taken by users invited to your company workspace. If you use Prospect for a company, you confirm that you have authority to accept these Terms for that company.

4. Subscription, payment, and taxes

Paid access is billed according to the plan and price shown at checkout or in a signed order. Fees are due in advance unless agreed otherwise. You are responsible for applicable taxes, payment method validity, and billing contact accuracy. We may suspend paid features when invoices are overdue or payment fails after reasonable notice.

5. Product scope and no professional advice

Prospect helps with operational workflows, document preparation, records, reports, integrations, and automation. Prospect does not provide legal, tax, accounting, audit, payroll, or financial advice. You are responsible for reviewing documents, tax treatment, filing obligations, accounting entries, and statutory deadlines with your own qualified advisors.

6. Customer data and integrations

You retain ownership of data you enter or import into Prospect. You grant us the rights needed to host, process, transmit, back up, and display that data to provide the service. When you enable third party integrations such as eFaktura, UJP, payment, email, analytics, or monitoring services, you authorize Prospect to transmit the required data to those providers for the enabled workflow.

7. eFaktura and UJP workflows

eFaktura features depend on customer-provided credentials, certificates, signing tools, UJP availability, network connectivity, and official platform behavior. You are responsible for verifying submissions, statuses, document contents, and statutory compliance. Prospect may provide sync, signing, and status tools, but does not guarantee that a public authority will accept every submitted document.

8. Acceptable use

You may not use Prospect to violate law, infringe rights, send spam, interfere with service operation, reverse engineer non-public systems, bypass security controls, upload malicious content, or access another customer's data. We may restrict access to protect the service, customers, or legal compliance.

9. Availability and support

Prospect aims to provide reliable service and publishes availability information at https://status.prospect.mk. Support expectations are described on the support page. Some incidents may be caused by infrastructure, email, payment, or public authority systems outside Prospect's direct control.

10. Intellectual property

Prospect, its software, designs, workflows, documentation, and brand assets are owned by Prospect or its licensors. These Terms do not transfer ownership of the product to you. You may use Prospect only as allowed by your subscription and these Terms.

11. Liability

To the maximum extent permitted by law, Prospect is not liable for indirect, incidental, special, consequential, punitive, or lost-profit damages. Prospect's total liability for claims related to the service should be limited to fees paid for the service during the period agreed in the final reviewed terms, unless applicable law requires otherwise.

12. Termination

You may stop using Prospect or cancel according to the subscription flow. We may suspend or terminate access for material breach, unlawful use, security risk, or unpaid fees. Data export and retention after cancellation should be handled according to the final reviewed retention policy and applicable law.

13. Governing law

These Terms are intended to be governed by the laws of the Republic of North Macedonia, without regard to conflict-of-law rules. The final reviewed version should identify the competent courts or agreed dispute resolution process.
